1. Acceptance of Terms
These Terms of Use ("Terms") form a binding agreement between you and Canexxa Solutions Pvt. Ltd. ("Canexxa", "we", "us", or "our") governing your access to and use of the Canexxa website, community feed, profiles, talent discovery, certificates, and related services (collectively, the "Platform").
By registering for an account, or by otherwise accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.
2. Eligibility
- You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.
- You must have the legal capacity to enter into a binding agreement.
- If you are registering on behalf of a company, you confirm you have the authority to bind that company to these Terms.
3. Account Registration & Security
- You must provide accurate, current, and complete information when creating your account and keep it updated.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must notify us immediately at connect@canexxa.com if you suspect unauthorized use of your account.
- One account per individual is permitted. Impersonating another person or entity is prohibited.
4. Acceptable Use
When using the Platform, you agree that you will not:
- Post content that is unlawful, defamatory, obscene, harassing, hateful, or infringes on the rights of others.
- Impersonate any person or entity, or misrepresent your affiliation, skills, qualifications, or work experience.
- Scrape, crawl, or harvest data from the Platform using automated tools without our prior written consent.
- Upload viruses, malware, or any code designed to disrupt or damage the Platform.
- Attempt to bypass security measures, access accounts that are not yours, or interfere with the Platform's normal operation.
- Use the Platform to send spam, unsolicited advertising, or engage in fraudulent activity.
- Reverse-engineer, decompile, or attempt to extract the source code of the Platform, except as permitted by law.
5. User Content & Intellectual Property
You retain ownership of the content you create and post on the Platform, including profile information, posts, comments, projects, and portfolio material ("User Content").
By posting User Content, you grant Canexxa a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute that content solely for the purpose of operating, promoting, and improving the Platform (for example, showing your profile to other users or companies browsing talent). This license ends when you delete the content or your account, except where copies have been retained for legal or backup purposes.
You are solely responsible for your User Content and confirm that you have all necessary rights to post it and that it does not infringe on any third party's rights.
6. Our Intellectual Property
The Platform, including its design, logo, brand name, source code, graphics, and all related intellectual property, is owned by Canexxa Solutions Pvt. Ltd. and protected by applicable intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent.
7. Profiles, Feed & Talent Discovery
- Information you add to your profile (skills, experience, education, projects) should be accurate and truthful; misrepresentation may lead to account suspension.
- Content posted to the community feed is visible to other members of the Platform and, where applicable, to companies using talent discovery features.
- Connections, follows, and endorsements are intended to reflect genuine professional relationships and should not be manipulated or fabricated.
- Canexxa may moderate, remove, or restrict visibility of content that violates these Terms, at our discretion.
8. Certificates
- Certificates issued through the Platform are non-transferable and remain the property of Canexxa until issued to the recipient's account.
- Certificates may be independently verified via the QR code or verification link provided; you agree not to alter, forge, or misrepresent the contents of any certificate.
- Canexxa reserves the right to revoke a certificate found to have been obtained through misrepresentation or fraud.
9. Third-Party Sign-In & Services
The Platform allows you to sign in using Google. Your use of Google Sign-In is also subject to Google's own terms and privacy policy. We are not responsible for the practices of third-party services linked from or integrated with the Platform, including our ERP and Warehouse & Logistics products, which may be governed by separate terms.
10. Fees & Availability
Core features of the Platform are currently provided free of charge. Canexxa reserves the right to introduce paid features, subscriptions, or premium services in the future, with reasonable prior notice. We also reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice, for maintenance, upgrades, or business reasons.
11. Suspension & Termination
- You may stop using the Platform and request deletion of your account at any time by contacting us.
- We may suspend or terminate your account, without prior notice, if you violate these Terms, engage in fraudulent or harmful conduct, or if required by law.
- Upon termination, your right to use the Platform ceases immediately; provisions that by their nature should survive termination (such as intellectual property, disclaimers, and limitation of liability) will continue to apply.
12. Disclaimers
The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Canexxa does not guarantee that the Platform will be uninterrupted, error-free, or completely secure, or that any talent, company, or content on the Platform is accurate, verified, or fit for any particular purpose.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Canexxa and its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunity, arising out of or in connection with your use of, or inability to use, the Platform, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising from these Terms or the Platform shall not exceed the amount, if any, paid by you to Canexxa in the twelve (12) months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Canexxa, its directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your violation of these Terms, misuse of the Platform, or infringement of any third party's rights through your User Content.
15. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Thane, Maharashtra, India.
16. Changes to These Terms
We may revise these Terms from time to time to reflect changes in our Platform, services, or legal requirements. We will post the updated Terms on this page with a revised "Last Updated" date. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms. If we make material changes, we will make reasonable efforts to notify you.
